The sale process involves:
conducting a rigorous analysis of the business and determining the probable range of value that the seller can expect to receive;
determining the most favorable go-to-market approach (two-stage auction process, controlled auction, preempted sale or targeted sale);
examining the legal, tax and accounting issues, in concert with our clients’ other advisors, that could impact the sale;
analyzing and recommending ways to structure the transaction to optimize the benefits to the seller at minimal cost to the acquirer;
evaluating alternative transaction structures to determine which best meets the client’s needs and objectives;
evaluating the potential for a management buyout or for a debt and/or equity recapitalization as alternatives to an outright sale;
preparing a confidential memorandum that highlights the various elements of value of the business and most salient investment merits from an advocate’s point of view;
analyzing and assisting the client in evaluating each offer from a financial, strategic and tactical business perspective; and
providing a critical buffer between the client and prospective buyers during sensitive negotiations.

assess the underlying value of a potential target utilizing different transaction scenarios and valuation methodologies;
provide a detailed review of past performance and a pro forma analysis of how a prospective business combination would affect earnings, cash flow, return on invested capital and capital structure;
analyze the potential impact on corporate strategy and future financial flexibility;
evaluate various debt and equity alternatives to fund the acquisition with the goal of determining the most effective structure and lowest cost of capital for the transaction;
coordinate the due diligence process, taking into account the confidentiality of the potential target; and
negotiate to complete the transaction at a fair and attractive price and at favorable terms utilizing the optimal structure from a legal and tax perspective.
